By installing or using 10-8 Broker Copilot ("the Service", "10-8"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms constitute a binding legal agreement between you and 10-8 Broker Copilot ("10-8", "we", "us").
10-8 Broker Copilot is a Chrome Extension and cloud backend that assists freight brokers in:
You must be at least 18 years old and a licensed or otherwise legally authorized freight broker or freight brokerage employee to use this Service. By using the Service, you represent and warrant that you meet these requirements.
You must authenticate via Google OAuth to use the Service. You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately at [email protected] if you suspect unauthorized access to your account.
By connecting your Gmail account, you authorize 10-8 to:

You are responsible for all emails sent via the Service under your Gmail account. 10-8 sends emails only when triggered by your approval or by auto-approval rules you have configured.
Credentials for third-party load boards (DAT, Greenscreens, Truckstop) and TMS platforms (Turvo, AscendTMS) are stored exclusively in your browser's local storage. These credentials are never transmitted to 10-8 servers. You are solely responsible for the security and authorized use of these credentials. You represent that you have the right to use these credentials and that their use via the Service complies with the terms of service of the respective platforms.

10-8 provides market rate suggestions based on aggregated load board data. These suggestions are informational only and do not constitute financial, legal, or professional freight brokerage advice. You are solely responsible for the rates you quote, the contracts you enter, and the loads you book. 10-8 is not liable for any financial loss resulting from accepted or rejected quotes.
The Service may auto-fill fields in TMS forms on your behalf. The Service will never automatically submit, save, or finalize a TMS form. All TMS form submissions require a manual action by you. You are responsible for reviewing all auto-filled data before submission.
The Service, including its software, design, and documentation, is owned by 10-8 Broker Copilot and protected by copyright and other intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes.
Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT MARKET RATE DATA WILL BE ACCURATE OR CURRENT.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, 10-8 SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
You agree to indemnify and hold harmless 10-8 and its officers, directors, and employees from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third party's rights.
We may suspend or terminate your access to the Service at any time for violation of these Terms. You may terminate your account at any time by emailing [email protected]. Upon termination, your right to use the Service ceases immediately.
We may update these Terms from time to time. We will notify you of material changes via email or in-extension notice. Continued use after notification constitutes acceptance of the updated Terms.
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
